Acceptance of Terms

By accessing and using Agent Jam, you agree to be bound by these Terms of Service and all applicable laws and regulations.

Service Description

Agent Jam provides a platform for collaborative AI brainstorming, automation, and third-party integrations, including the ability to call external tools and APIs when configured by the user.

Certain features require you to connect external accounts, grant permissions, or provide your own credentials and API keys.

User Responsibilities

You agree to:

• Provide accurate account information
• Maintain the security of your account, credentials, and API keys
• Use the service in compliance with all applicable laws
• Not misuse or abuse the service
• Connect only accounts you own or are authorized to administer
• Be responsible for all charges and outcomes arising from your use of AI models and integrations

Third-Party Integrations and Authorization

If you enable a third-party integration, you authorize Agent Jam to act as your agent for that integration, subject to the permissions you grant and the instructions you provide.

• Agent Jam may read, retrieve, transmit, create, update, or delete data in connected services when requested by you or your configured automations
• Agent Jam may send messages, trigger workflows, move files, create records, and perform similar actions supported by the connected integration
• You are solely responsible for confirming scopes, reviewing action previews where provided, and validating outputs before relying on them
• You may revoke integration access at any time in Agent Jam or with the external provider

Bring Your Own Key (BYOK)

When using your own API keys, you are responsible for:

• Obtaining and managing valid credentials
• All charges incurred through third-party API usage
• Compliance with third-party provider terms and policies
• Monitoring usage, quotas, and rate limits

Third-Party Services and Terms

Agent Jam depends on external providers (including model providers, infrastructure services, and integration partners). Their availability, actions, and terms are outside our control. Your use of third-party services is also governed by those providers' terms and privacy policies.

Service Availability

We strive to maintain availability but do not guarantee uninterrupted or error-free service. We may modify, suspend, or discontinue any feature at any time.

Content and Intellectual Property

You retain ownership of your inputs and content you submit. You grant us a worldwide, non-exclusive license to host, process, transmit, and use that content as needed to provide and improve the service.

Agent Jam and its underlying software, branding, and product features remain our property or our licensors' property.

Acceptable Use

You may not use Agent Jam to:

• Violate law, contract, privacy, or intellectual property rights
• Access or operate third-party accounts without proper authorization
• Distribute malware, engage in fraud, or interfere with system security or reliability
• Circumvent safeguards, abuse rate limits, or reverse engineer protected parts of the service except as allowed by law

Disclaimer of Warranties

Agent Jam, AI outputs, and integration actions are provided "as is" and "as available." We do not guarantee accuracy, reliability, legal compliance, or fitness for a particular purpose. You are responsible for reviewing outputs and actions before use.

AI and Automation Risk Disclosure

AI-generated content and automated actions may be incorrect, incomplete, delayed, or unintended. You must use human review and independent judgment before taking legal, financial, operational, or compliance-sensitive actions based on outputs from Agent Jam.

• You are responsible for configuring safeguards, approval flows, and access controls for automations in your workspace
• You are responsible for verifying the identity, authorization, and destination of any action performed through connected integrations
• You remain solely responsible for consequences of actions initiated by your prompts, settings, workflows, team members, or connected accounts

Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities, arising from or related to your use of Agent Jam, third-party services, or AI outputs.

Indemnification

You agree to defend, indemnify, and hold harmless Agent Jam and its affiliates from claims, liabilities, damages, and expenses arising from your use of the service, your connected accounts, your content, or your violation of these Terms or applicable law.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware and applicable United States federal law, without regard to conflict of law rules, except where mandatory consumer protection law requires otherwise.

Before filing a claim, both parties agree to attempt in good faith to resolve the dispute informally by written notice. The notice must describe the claim, requested relief, and supporting facts in reasonable detail. If the parties do not resolve the dispute within 30 days, either party may proceed under the arbitration section below.

Arbitration and Class Action Waiver

To the extent permitted by law, disputes that are not resolved informally will be resolved by binding individual arbitration rather than in court. Arbitration will be administered by the American Arbitration Association (AAA) under its applicable consumer or commercial arbitration rules. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.

Either party may bring an individual claim in small claims court if the claim qualifies. Either party may also seek injunctive or equitable relief in court for alleged infringement or misuse of intellectual property, unauthorized access, or security abuse.

To the extent permitted by law, you and Agent Jam waive any right to participate in class, collective, representative, or private attorney-general actions.

If applicable law allows you to opt out of arbitration, you may do so within 30 days of first accepting these Terms by emailing hello@boilingkettle.co with the subject line "Arbitration Opt-Out" and your account email.

Termination

We may suspend or terminate access if you violate these Terms, present security or legal risk, or fail to pay required fees. You may stop using the service at any time. Provisions that by nature should survive termination will survive.

Export Controls and Sanctions

You may not use Agent Jam in violation of export control or sanctions laws. You represent that you are not located in, organized under, or ordinarily resident in any restricted jurisdiction where use is prohibited by applicable law.

Changes to Terms

We reserve the right to modify these terms at any time. Continued use of the service after changes constitutes acceptance of the modified terms.

Regional Consumer Rights

If you are a consumer in a jurisdiction with non-waivable rights, the mandatory provisions of that jurisdiction apply and control over conflicting provisions in these Terms.

Severability and Waiver

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Any failure to enforce a provision is not a waiver of future enforcement.
